Dear Cumberland Hill Pool Charter Members and Pool Members,
The annual Charter Meeting will be held on Wednesday, October 21, 2020, at 7:00 PM at the Pool Clubhouse.  At this meeting an election will be held to vote in the new Officers.  All Charter Members are welcome to participate and cast their vote.
As per our operating agreement, a “nominating committee” has been appointed by the current President, Dora Sweeney, and they are Steve Honican, Scott Wilson and Kathy Stichnot.  It is the nominating committee’s responsibility to solicit nominations for the offices of President, Vice President, Secretary, Treasurer and two At-Large members.   All nominations must be received by the nominating committee no later than October 1st, 2020 at the email address:
 All Officer candidates must be Charter Members in good standing and current members of the pool.  Candidates for the two At-Large Member positions must also be members of the pool to be a candidate for considerations.  No more than two candidates for each office will be considered.  In the event more than two candidates apply, the nominating committee will select the two candidates to be forwarded for election.
The Nominating Committee shall return their report to the President, and she shall cause it to be published to the membership by email (and online) at least 15 days prior to the annual meeting of the charter members.
At the annual meeting each candidate will be given 3 minutes to speak before the charter members before a vote is taken.
Each Charter Member is allowed one vote for each charter membership owned.
The officers of the Association shall be President, Vice President, Secretary and Treasurer, each of whom are elected every 2 years by the Charter Membership.
The offices and duties are as follows:
The President shall, subject to the direction and supervision of the Board of Managers, be the chief executive officer of the Association and shall have general and active control of its affairs and business and general supervision of the officers, agents, and employees. The President shall preside at all meetings of the Membership of the Association and at meetings of the Board of Managers. The President is authorized to execute all deeds, contracts, transfers, loans, checks, cash withdrawals, mortgages, etc. on behalf and with the authorization of the Board of Managers.
Vice President:
The Vice President shall assist the President and shall perform such duties as may be assigned to him or her by the President or by the Board of Managers. In the absence of the President, the Vice President shall have the powers and perform the duties of the President.
The Secretary shall: (a) keep the minutes of the proceedings of the Members and the Board of Managers; (b) see that all notices are duly given in accordance with the provisions of these bylaws or as required by law; (c) be custodian of the Association records and of the seal of the Association and affix the seal to all documents when authorized by the Board of Managers; (d) sign with the President, or a Vice President, certificates of Membership in the Association, the issuance of which shall have been authorized by resolution of the Board of Managers; (e) have general charge of the Membership lists of the Association; and (f) in general perform all duties as from time to time may be assigned to him or her by the President or by the Board of Managers.
The Treasurers shall be the principal financial officer of the Association and shall have the care and custody of all funds, securities, evidences of indebtedness and other personal property of the Association and shall deposit the same in accordance with the instruction of the Board of Managers. He or she shall receive and give receipts for moneys paid in an account of the Association, and shall pay out of the funds on hand all bills, payrolls and other just debts of the Association of whatever nature upon maturity. He or she shall perform all other duties incident to the Office of the Treasurer, and upon request of the Board of Managers, shall make such reports to it as may be required at any time. He or she shall, if required by the Board of Managers, give the Association a bond in such sums and with such sureties as shall be satisfactory to the Board of Managers, conditioned upon the faithful performance of his or her duties and for the restoration to the Association of all books, papers, vouchers, money and other property of whatever kind in his or her possession or under his or her control belonging to the Association. He or she shall have such other powers and perform such other duties as may be from time to time prescribed by the Board of Managers or the President. The treasurer shall keep at its registered office or principal place of business within or outside Kentucky a record containing the names and addresses of all Members, unless such a record shall be kept at the office of the Association’s transfer agent, registrar, or the corporate treasurer. The treasurer will also chair a standing CATFISH swim team committee consisting of the president and vice president of the Catfish swim team for budgetary purposes. The treasurer will report back to the general board the Catfish finances.
